Agility Robotics advances Nasdaq listing with November 2 shareholder vote
Churchill XI shareholders will vote on 2 November on the proposed merger, which could provide more than $620 million to scale Digit production and deployments.

Agility Robotics has moved closer to a Nasdaq listing after the SEC declared its merger registration statement with Churchill Capital Corp XI effective on 13 October. Churchill XI shareholders will vote on 2 November, with completion expected in November. The transaction values Agility at $2.5 billion before new capital and could provide over $620 million in gross proceeds, including approximately $424 million in SPAC trust funds, assuming no redemptions, and a $200 million Foxconn-led PIPE investment. The combined company would trade under AGLT.
The transaction follows Agility’s September unveiling of Digit 5 and more than $300 million in multi-year orders associated with approximately 1,000 humanoids under a three-year Robots-as-a-Service agreement. These are contractual commitments subject to deployment milestones, rather than recognised revenue. Earlier Digit generations have accumulated over 65,000 operating hours, with commercial relationships including GXO, Schaeffler, Amazon and Toyota Motor Manufacturing Canada. At GXO, Digit has completed more than 100,000 tote movements.
Agility’s RoboFab facility in Oregon is designed for eventual annual capacity of 10,000 robots, while Digit 5 early customer availability is planned for early 2027. The company reports nine committed customer facility deployments and more than 30 prospective customers in discussions or its Customer Acceleration Program. The merger remains subject to shareholder approval and other closing conditions.
