Realbotix signs all-stock sale agreement for humanoid robotics subsidiary
The proposed all-stock transaction would place the commercial humanoid subsidiary inside Onconetix, with Realbotix Corp retaining control.

Realbotix Corp announced a definitive agreement on 12 February 2026 to transfer its commercial humanoid robotics subsidiary, Realbotix LLC, to Nasdaq-listed Onconetix in an all-stock transaction. Under the agreement signed the previous day, Realbotix would receive 75–90% of Onconetix’s fully diluted shares after closing, with the percentage determined by Onconetix’s net cash. The parent would also appoint four of the combined company’s five directors.
The Nevada subsidiary contains Realbotix’s robotics engineering and AI software teams, together with patents and intellectual property used in its humanoid business. It develops robots with expressive faces, vision and social-interaction software for customer service, healthcare, education, hospitality and entertainment. The transaction would place that commercial robotics operation inside a Nasdaq-listed company while giving Realbotix Corp a controlling equity interest.
Realbotix Corp would retain Abyss Creations, its separate direct-to-consumer companionship business. Onconetix was expected to adopt the Realbotix name or another agreed name following completion. The companies targeted closing before the end of the third quarter of 2026, subject to TSX Venture Exchange and Onconetix shareholder approval. The February announcement records the signed agreement; completion remained pending.
