Berkshire Grey’s SPAC growth case ended in a much smaller SoftBank take-private

Berkshire Grey entered the public market in 2021 at a pro forma enterprise value of about $2.2 billion around a rapid-growth warehouse-automation case. Less than two years later, SoftBank agreed to take it private in a transaction valuing the company at about $375 million and supplied interim financing needed to support operations through closing. The robotics business continued, but the take-private was a rescue and ownership reset rather than delivery of the scale implied by the public-market plan.
