Consideration is up to 2.2 million Series C preferred shares with $10 stated value each; this is a maximum stated share value, not a cash payment. Only 10% of the shares are allocated to closing; the other 90% depend on ten technology, testing and revenue milestones over 36 months. Closing requires audited financial statements and current filings. Empulser remains in development, and the proposed appointment of Patrick Tsang as CEO and director is conditional on closing and approvals.
